Recode Studios, a beauty and personal care company, has purchased up to 51% of Aflairza Professionals, a high-end cosmetics and beauty brand.
The planned acquisition will be carried out in two stages, combining a primary capital infusion into the company with a secondary purchase of shares from the current founders.
Recode intends to use this investment to help Aflairza grow by bolstering its manufacturing capacity, broadening its range of cosmetics and personal care items, improving distribution systems, and boosting the brand’s visibility through both online and physical retail channels.
In accordance with the planned deal, Recode would first purchase a 33% share in Phase I for a total payment of Rs 8.32 crore, which will be split equally between buying promoter shares and adding new capital to the business. Recode plans to become the dominant stakeholder by increasing its ownership to 51% through Phase II.
Aflairza Professionals is a beauty and cosmetics company founded by Sagar Urvish Gandhi and Deep Parekh that offers high-end products made with Korean formulas.
The current promoters will continue to oversee the business’s daily operations as part of the proposed deal. Additionally, Recode will propose a board representative.
Recode Studios Limited is a beauty and personal care company with more than 350 SKUs in the skincare, cosmetics, and personal care categories. The business employs third-party production capabilities while concentrating on product invention, branding, marketing, and distribution.
